Earnings Disclaimer

Digital Residuals LLC d/b/a Dividend Shift
Effective Date: May 27, 2026  •  Last Updated: May 27, 2026
Governing Law: State of Florida, United States

Important: Dividend Shift does not guarantee any specific level of income, profit, revenue, or financial outcome. All figures, case studies, and examples referenced in our materials are illustrative only. Individual results will vary based on numerous factors outside the Company's control.

1. No Income Guarantee

Digital Residuals LLC d/b/a Dividend Shift ("Company," "we," "us," or "our") provides business education, licensing, coaching, and operational support services related to the deployment of crypto payment terminals and merchant payment processing solutions. The Company makes no representation, warranty, or guarantee — express or implied — that any client, partner, or participant will earn any specific amount of income or achieve any particular financial result as a result of enrolling in, purchasing, or participating in any Company program, training, or service.

Any reference to income, revenue, earnings, residuals, or financial outcomes in Company materials, websites, social media, presentations, or communications is for illustrative purposes only and does not constitute a promise, projection, or guarantee of results.

2. Individual Results Vary

The results achieved by any individual client or partner of Dividend Shift depend entirely on that individual's own efforts, circumstances, and factors beyond the Company's control, including but not limited to:

  • Geographic market conditions and local business density
  • Individual work ethic, consistency, and time invested
  • Prior business experience and sales ability
  • Local competition and economic conditions
  • The number of merchants successfully onboarded and retained
  • Transaction volume processed at each merchant location
  • Changes in payment processing regulations or network fee structures
  • Macroeconomic conditions, including inflation and consumer spending patterns

Because these variables differ significantly from person to person, no two participants will achieve the same results, and the Company cannot predict or guarantee the outcome for any individual.

3. Testimonials and Case Studies

Any testimonials, client success stories, screenshots, income figures, or case studies referenced on Dividend Shift websites, social media accounts, marketing materials, or in any Company communication represent the experiences of specific individuals under their specific circumstances. These results are not typical and should not be interpreted as representative of average or expected outcomes.

The individuals featured in testimonials or case studies may have had prior business experience, unique market access, or other advantages that contributed to their results. The Company does not imply that similar results are achievable by all participants.

Testimonials and client results have not been independently verified by any third party. The Company presents them in good faith as accurate representations of the experiences shared by those individuals.

4. Residual Income and Payment Processing

Dividend Shift's business model involves earning a share of transaction fees processed at merchant locations through partnerships with established card network companies. The following factors directly affect the amount of residual income a partner may receive:

  • Merchant volume: Income is directly tied to the dollar volume of transactions processed at each merchant location. Low-volume merchants generate lower residuals.
  • Merchant retention: Merchants may close, switch processors, or reduce transaction volume at any time. There is no guarantee that any merchant relationship will continue indefinitely.
  • Processing fee structures: Residual income is derived from the spread between the processing cost and the rate charged to the merchant. Fee structures are subject to change by card networks and processing partners.
  • Crypto adoption rates: Income from crypto payment terminals depends on merchant and consumer adoption of cryptocurrency as a payment method, which is subject to market fluctuation and is not guaranteed.
  • Regulatory changes: Changes in federal, state, or local laws governing payment processing or cryptocurrency may affect the viability or profitability of the business model.

5. Not Financial, Legal, or Investment Advice

Nothing contained in any Dividend Shift website, program, training material, coaching session, communication, or marketing material constitutes financial advice, investment advice, legal advice, tax advice, or any other form of professional advisory service. The Company is not a registered investment advisor, broker-dealer, financial planner, or legal professional.

You should consult with qualified financial, legal, and tax professionals before making any business or investment decisions. The Company's services are educational and operational in nature and are not a substitute for professional advice tailored to your individual circumstances.

6. Forward-Looking Statements

Certain statements made by the Company regarding market opportunity, industry growth, payment processing trends, and crypto adoption may constitute forward-looking statements. These statements are based on information available at the time they are made and involve known and unknown risks, uncertainties, and other factors that may cause actual results to differ materially from those expressed or implied.

Forward-looking statements are not guarantees of future performance. The Company undertakes no obligation to update or revise any forward-looking statement to reflect events or circumstances after the date it was made.

7. Market and Industry Data

References to market size, industry statistics, or third-party research (including but not limited to data from the Nilson Report, PayPal/Harris Poll surveys, or other sources) are provided for informational context only. The Company does not warrant the accuracy, completeness, or timeliness of third-party data.
